As required by the Order, the First Amendment changes Section 8 of the Application to reflect paid-in capital of $2,500,000 and initial free surplus of $2,500,000. Section 8 of the Application for Certificate of Authority of Anthem Insurance Companies, Inc. ("Anthem"), in the name of its wholly owned subsidiary to be formed, Anthem Health Plans of Maine, Inc., originally submitted at Tab 5 of the Initial Consolidated Filing dated September 15, 1999, is hereby amended to read in its entirety as follows: "8. Capital and/or Surplus Requirements. Immediately after Closing, Anthem BCBSME will have paid-in capital stock and free surplus in amounts at least equal to that of BCBSME prior to Closing. In satisfaction of 24-A M.R.S.A. § 410, Anthem BCBSME will be capitalized with at least $2,500,000 in paid-in capital stock and $2,500,000 in initial free surplus. These amounts will be funded through Anthems available working capital. Anthem is not obtaining any third-party financing in connection with the Acquisition." SIGNATURE Anthem Insurance Companies, Inc. has caused this First Amendment to be duly signed on its behalf in the City of Indianapolis and State of Indiana on the day of March, 2000.
